These Terms of Service and SaaS Terms (“Terms”) govern your access to and use of the Atlacis platform, products, and services (“Service”) provided by ATLACIS SOFTWARE TECHNOLOGIES LLC (“Atlacis,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Definitions
- “Customer” means the entity or individual that creates an account and subscribes to the Service.
- “Authorized User” means any individual granted access to the Service under the Customer’s account.
- “Customer Data” means any data, content, or material uploaded, submitted, or transmitted by the Customer or Authorized Users through the Service.
- “Service” means the Atlacis cloud-based SaaS platform, including all features, tools, integrations, APIs, and documentation made available by Atlacis.
- “Usage Balance” means prepaid credits purchased by the Customer and consumed as the platform processes cases. See the Wallet Policy for full details.
2. Account Registration
To use the Service, you must register an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must promptly notify Atlacis of any unauthorized use of your account.
3. Grant of License
Subject to these Terms, Atlacis grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the applicable subscription term solely for the Customer’s internal business operations.
4. Acceptable Use
Your use of the Service is subject to the Acceptable Use Policy published at /legal/acceptable-use. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your access without notice or refund.
5. Payment and Usage Balance
The Service operates on a prepaid usage balance model. Customers purchase a Usage Balance that is consumed as the platform processes cases. Usage Balances are non-refundable except as described in the Wallet Policy at /legal/wallet-policy. All fees are stated in U.S. dollars unless otherwise agreed. Atlacis reserves the right to change pricing with thirty (30) days’ written notice.
6. Customer Data
The Customer retains all rights to Customer Data. By using the Service, the Customer grants Atlacis a limited license to process, store, and transmit Customer Data solely to provide the Service. Atlacis will not sell, share, or use Customer Data for any purpose other than providing and improving the Service, except as required by law.
7. Confidentiality
Each party agrees to hold in confidence all non-public information disclosed by the other party (“Confidential Information”). Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is rightfully received from a third party without restriction.
8. Intellectual Property
Atlacis retains all rights, title, and interest in the Service, including all software, technology, documentation, and intellectual property. Nothing in these Terms transfers ownership of any Atlacis intellectual property to the Customer. Customer feedback may be used by Atlacis to improve the Service without obligation or compensation.
9. Service Levels and Support
Atlacis will use commercially reasonable efforts to maintain the availability of the Service. Support is provided in accordance with the Support Policy and SLA-lite at /legal/support-sla. Atlacis does not guarantee uninterrupted or error-free operation of the Service.
10. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate with thirty (30) days’ written notice. Atlacis may terminate or suspend access immediately if you breach these Terms or the Acceptable Use Policy. Upon termination, the Customer’s access to the Service will cease. Customer Data will be available for export for thirty (30) days following termination, after which it may be deleted.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ATLACIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ATLACIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLACIS’S AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ATLACIS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
13. Indemnification
The Customer agrees to indemnify and hold harmless Atlacis from any claims, damages, or expenses arising from: (a) the Customer’s use of the Service; (b) violation of these Terms; or (c) infringement of third-party rights by Customer Data.
14. Data Protection
Atlacis processes personal data in accordance with the Privacy Policy at /legal/privacy. Where applicable, Atlacis will enter into a Data Processing Agreement upon request.
15. Modifications
Atlacis may update these Terms from time to time. Material changes will be communicated with at least thirty (30) days’ notice via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
17. General Provisions
- Entire Agreement. These Terms, together with all referenced policies, constitute the entire agreement between the parties.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver. Failure to enforce any provision does not constitute a waiver.
- Assignment. The Customer may not assign these Terms without prior written consent from Atlacis.
- Force Majeure. Neither party is liable for delays caused by events beyond reasonable control.
